Terms and Conditions
General terms and conditions for the use of the Kontevia service.
Provider: Eucalypt 4 s.r.o., Jicinska 226/17, Zizkov, 130 00 Praha 3, Czech Republic. Company ID (ICO) 22103741, VAT ID (DIC) CZ22103741. Registered in the Commercial Register kept by the Municipal Court in Prague, file no. C 410771. E-mail hello@kontevia.com, phone +420 730 654 314.
1. Provider and scope
These terms govern the contractual relationship between Eucalypt 4 s.r.o. (the "Provider") and the customer (the "Customer") using the Kontevia service available at kontevia.com and its country versions (the "Service"). The Provider's identification and contact details are stated above.
By creating an account, confirming an order or using the Service the Customer accepts these terms. The Refunds and Cancellation Policy, the Privacy Policy, the Cookie Policy and, for business customers, the Data Processing Agreement form part of the contract.
The Service is intended for businesses and self-employed persons in the European Union. Consumers may use the Service; where a Customer is a consumer, the mandatory consumer protection rules of the country of their habitual residence apply in addition to these terms.
2. The Service
Kontevia is a software service (SaaS) for automated processing of accounting documents. The Customer submits receipts, invoices and other documents by chat (WhatsApp), e-mail or upload in the dashboard. The Service extracts the data, proposes a category and the VAT treatment under the rules of the Customer's country, prepares VAT summaries and reports, issues invoices, matches bank transactions and exports data to connected accounting systems.
The Service is provided remotely over the internet as a subscription. No physical goods are delivered. The exact scope of functions, the number of documents included in each plan and the countries supported are stated in the current price list at kontevia.com/pricing.
Kontevia is in early access. Connectors to national e-invoicing and tax platforms are rolled out country by country; the current state of each connector is listed on the integrations page. Where a connector is described as prepared or ready, the Provider does not yet transmit data to the platform on the Customer's behalf.
The Service is an aid to bookkeeping, not tax, accounting or legal advice. Automatic extraction and categorisation are proposals that the Customer must check. Responsibility for the correctness and timely filing of tax returns, e-invoices and other statutory obligations remains with the Customer.
3. Account and registration
The Customer creates an account by registering with an e-mail address or a supported sign-in provider and confirming the registration. The Customer must provide true and complete details, keep them up to date and keep access credentials confidential. The Customer is responsible for all activity under its account, including activity of users it invites.
One account may manage several companies or business entities. Each entity has its own workspace; the Customer warrants that it is authorised to process the documents it submits for each entity.
The Provider may suspend an account that is used in breach of these terms, that presents a security risk or whose subscription remains unpaid after a reminder. The Customer will be notified by e-mail.
4. Formation of the contract
The contract for a paid plan is formed when the Customer selects a plan, confirms the order and pays the first subscription payment. The Provider confirms activation by e-mail. The contract is concluded for an indefinite period and may be terminated as set out in Article 8.
These terms are published in the language of every country version of kontevia.com, and all language versions have the same content. The contract is concluded in the language of the version in which the Customer accepted these terms. For business customers the English version prevails in case of discrepancy; for consumers the version in their language applies and any ambiguity is interpreted in their favour. The Provider archives the contract electronically; it is not accessible to third parties.
Early access without a paid plan is provided free of charge on the terms stated in the dashboard and may be limited in functions, number of documents or duration.
5. Prices and payment terms
- Current prices are published at kontevia.com/pricing. Prices are stated in euro and exclusive of VAT; VAT is added according to the Customer's country and VAT status. Business customers with a valid EU VAT identification number outside the Czech Republic are invoiced under the reverse-charge mechanism.
- The subscription is billed monthly, once per calendar month, in the amount of the selected plan. Annual payment is available at the price of ten months.
- Payment is made by payment card or bank transfer button. Card payments are processed by Comgate, a.s., a licensed payment institution; the Provider does not store card details.
- The subscription is a recurring payment: the amount is charged automatically once per calendar month, or once per year for annual plans, until the Customer cancels. The Customer is informed of the amount and frequency before the first payment and may cancel at any time.
- Usage above the plan's monthly document allowance is charged at EUR 0.20 per document, billed with the following subscription payment. The Customer can see current usage in the dashboard at any time.
- A tax document (invoice) is issued electronically for every payment and sent to the Customer's e-mail address; it is also available in the account.
- If a payment fails, the Provider notifies the Customer and retries. If the payment remains unpaid, access to paid functions may be limited until it is settled; the Customer's data remains available for export.
6. Delivery and activation
Access to the paid plan is activated immediately after the payment is confirmed, typically within a few minutes and no later than 24 hours. The Customer receives confirmation by e-mail. Because the Service is delivered electronically, no shipping applies and no delivery charges are made.
If activation fails for reasons on the Provider's side, the Customer is entitled to a full refund of the payment concerned.
7. Customer obligations and acceptable use
- To submit only documents and data that the Customer is entitled to process, and to hold the necessary permissions from the persons whose data they contain.
- Not to use the Service unlawfully, to attempt to gain unauthorised access, to interfere with its operation or to use it to process documents for third parties on a commercial basis without an agreement with the Provider (accounting practices are covered by the multi-client plan).
- To check the outputs of the Service before using them for statutory filings, e-invoicing or payments.
- To keep its own copies of documents where required by law; the Service provides an archive but does not replace the Customer's statutory record-keeping obligations.
- Not to resell, sublicense or reverse-engineer the Service. All intellectual property in the Service remains with the Provider. The Customer retains all rights to its own data.
8. Duration and cancellation
Either party may terminate the contract at any time with effect at the end of the paid period. The Customer cancels from the account or by e-mail to hello@kontevia.com. No cancellation fee is charged. Upon cancellation, recurring payments stop and access to paid functions ends at the end of the paid period.
The Provider may terminate the contract with 30 days' notice, or without notice in case of a material breach of these terms. In case of termination by the Provider for reasons other than breach, prepaid amounts for the unused period are refunded.
After termination the Customer may export its data for 90 days. After that period the Provider deletes the Customer's data, except where retention is required by law. Withdrawal, complaints and refunds are governed by the Refunds and Cancellation Policy.
9. Availability, changes and support
The Provider endeavours to keep the Service continuously available, apart from planned maintenance, which is announced in advance where possible, and circumstances beyond its control, such as outages of messaging platforms, banks, hosting providers or national tax platforms.
The Provider may develop and change the Service, add or remove functions and update the supported countries. Changes that materially reduce the functionality of the Customer's plan are announced at least 30 days in advance; the Customer may terminate the contract before the change takes effect.
Support is provided by e-mail at hello@kontevia.com on business days. Response times are stated on the help page and are indicative.
10. Liability
The Provider is liable for damage caused by a breach of its obligations up to the amount paid by the Customer for the Service in the twelve months preceding the event. This limitation does not apply to damage caused intentionally or by gross negligence, to personal injury, or where the law does not allow a limitation, in particular towards consumers.
The Provider is not liable for penalties, interest or other consequences arising from filings, e-invoices or payments the Customer submitted without checking them, for errors in documents supplied by the Customer, or for outages caused by third-party services outside the Provider's control.
The Customer is responsible for the lawfulness of the data it processes and indemnifies the Provider against third-party claims arising from the Customer's breach of these terms.
11. Personal data
The processing of personal data of the Customer and its users is described in the Privacy Policy. For the accounting data uploaded by the Customer, the Provider acts as a processor on the Customer's instructions under the Data Processing Agreement, which forms part of these terms for business customers. The current list of sub-processors is published on the website.
Data is stored on servers in the European Union. Where a sub-processor is located outside the European Economic Area, transfers are protected by an adequacy decision or standard contractual clauses.
12. Consumer rights
A Customer who is a consumer has the right to withdraw from the contract within 14 days of its conclusion without giving a reason, as described in the Refunds and Cancellation Policy. Where the consumer asked for the Service to begin during the withdrawal period, a proportionate amount for the period of use is owed. The model withdrawal form is set out in Article 14.
A consumer may address an out-of-court dispute to the Czech Trade Inspection Authority (Ceska obchodni inspekce, https://adr.coi.cz). The consumer may also turn to the alternative dispute resolution body of their own country.
Nothing in these terms limits the rights that a consumer has under the mandatory law of the country of their habitual residence.
13. Final provisions
The relationship is governed by the law of the Czech Republic. Consumers retain the protection of the mandatory rules of the country of their habitual residence. Disputes that are not settled amicably are decided by the competent courts of the Czech Republic, without prejudice to the consumer's right to sue and be sued in their own country.
The Provider may amend these terms. The Customer will be informed by e-mail at least 30 days in advance and may terminate the contract before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the amended terms.
If a provision of these terms is invalid, the remaining provisions remain in force. These terms take effect on the date stated above and replace all previous versions.
